CICC Proposes Merger by Absorption of Dongxing Securities and Cinda Securities; Trading in Company Shrs To Resume Tmr

CICC (03908.HK) announced that the company, and Dongxing Securities and Cinda Securities further entered into the Merger Agreement today (December 17) with respect to the Proposed Mergers which sets forth detailed terms and conditions for implementing the Proposed Mergers. The Proposed Mergers will take the form of mergers by absorption by CICC issuing CICC A Shares to all the holders of Dongxing A Shares in exchange for all of the issued shares of Dongxing Securities on the basis of the Dongxing Exchange Ratio, which is 0.4373 CICC A Shares for every Dongxing A Share; and CICC A Shares to all the holders of Cinda A Shares in exchange for all of the issued shares of Cinda Securities on the basis of the Cinda Exchange Ratio, which is 0.5188 CICC A Shares for every Cinda A Share.
